This Privacy Policy explains how Deep Roots Capital, LLC (“Deep Roots Capital,” “we,” “us,” or “our”) collects, uses, discloses, and protects information about you when you visit www.deeprootscapital.com (the “Site”), submit a request to be contacted, or access the investor portal we make available to qualified investors. By using the Site, you agree to the practices described in this Policy.

Who we are. Deep Roots Capital is a private equity firm based in Fargo, North Dakota. This Site is intended for a general business audience. It is not directed to children, is not intended for use by anyone under the age of 18, and is not intended to be used to solicit investors.

1. Information We Collect

We collect information in three ways: information you provide directly, information collected automatically when you use the Site, and information we receive from third parties.

Information you provide to us

  • Contact requests. When you use a form to request to be contacted, we collect the information you submit, which may include your name, email address, telephone number, company or organization, and any message or details you choose to share.
  • Investor portal access. If you are granted access to our investor portal, we (or our portal provider) collect account credentials and related information used to verify your identity, manage access, and communicate with you.
  • Correspondence. If you email, call, or otherwise communicate with us, we keep a record of that correspondence and the information it contains.

Information collected automatically

When you visit the Site, certain information may be collected automatically through your browser or device, which may include your IP address, browser type, device type, operating system, referring website, pages viewed, and the dates and times of your visits. The Site may use cookies or similar technologies for basic functionality and, if enabled, to understand how the Site is used. See Section 5 (Cookies and Tracking Technologies). 

Information from third parties

We may receive information about you from third parties, such as service providers that host the Site or the investor portal, identity or accreditation-verification services, and publicly available sources. We use this information consistent with this Policy.

Sensitive information. We do not ask you to submit sensitive personal information (such as Social Security numbers, financial account numbers, or government identifiers) through the public contact form. Any such information needed to establish or service an investment is collected and handled separately under the applicable investor agreements and the security measures of our investor portal provider. Please do not include sensitive information in a general contact request.

2. How We Use Your Information

We use the information we collect to:

  • Respond to your contact requests and communicate with you;
  • Evaluate and manage prospective and existing investor relationships;
  • Provide, operate, secure, and maintain the Site and the investor portal;
  • Verify identity and, where applicable, investor eligibility or accreditation;
  • Send investment-related materials, communications, and updates to authorized investors;
  • Comply with legal, regulatory, tax, audit, and recordkeeping obligations;
  • Detect, prevent, and address fraud, security incidents, and misuse; and
  • Operate, evaluate, and improve our business and the Site.

We do not sell your personal information, and we do not use it for cross-context behavioral advertising. See Section 7.

3. The Investor Portal

The Site provides a link to a password-protected investor portal hosted by a third-party provider, which authorized investors may use to access investment-related materials and communications. Access is restricted to investors we have approved, and use of the portal is subject to the portal provider’s own terms of use and privacy policy in addition to this Policy.

When you use the portal, information you submit or that is generated through your use is processed by the portal provider on our behalf, and may also be processed by the provider for its own purposes as described in its privacy policy. We encourage you to review the provider’s privacy policy available through it’s website.

You are responsible for keeping your portal credentials confidential and for all activity that occurs under your account. Notify us promptly if you believe your credentials have been compromised.

4. How We Disclose Information

We do not sell your personal information. We may disclose information in the following circumstances:

  • Service providers. With vendors who perform services for us, such as website hosting, the investor portal, email delivery, identity verification, accounting, legal, and IT services. These providers are permitted to use the information only to provide services to us.
  • Professional advisors. With our attorneys, accountants, auditors, and similar advisors as needed.
  • Legal and regulatory. When required to comply with applicable law, regulation, legal process, or governmental or regulatory request, or to protect the rights, property, or safety of Deep Roots Capital, our investors, or others.
  • Business transfers. In connection with a merger, acquisition, financing, reorganization, or sale of assets, or during due diligence for such a transaction.
  • With your direction. When you ask us to share your information or otherwise consent to the disclosure.

5. Cookies and Tracking Technologies

Cookies are small data files stored on your device. The Site may use cookies and similar technologies that are strictly necessary for the Site to function. The Site may also use analytics or performance cookies to understand how visitors use the Site, but only if and when such tools are enabled. 

You can usually set your browser to refuse cookies or to alert you when cookies are being sent. If you disable cookies, some parts of the Site may not function properly. Because there is no consistent industry standard for “Do Not Track” signals, the Site does not currently respond to them.

6. Data Security

We maintain reasonable administrative, technical, and physical safeguards designed to protect the information we collect. The investor portal is password-protected and maintained by a third-party provider that applies its own security controls. However, no method of transmission over the internet or method of electronic storage is completely secure, and we cannot guarantee absolute security. You transmit information to us at your own risk.

7. No Sale of Personal Information; No Targeted Advertising

Deep Roots Capital does not sell personal information for money, does not share personal information for cross-context behavioral advertising, and does not use the information collected through the Site to deliver targeted advertising. If our practices change, we will update this Policy and provide any opt-out mechanisms required by law.

8. Your Privacy Rights

Depending on where you live, you may have rights under your state’s privacy law regarding your personal information. To make compliance simple and consistent, Deep Roots Capital extends the following core rights to all Site visitors and investors, regardless of state of residence:

  • Right to know / access. Request confirmation of whether we process your personal information and access to the information we hold about you.
  • Right to correct. Request that we correct inaccurate personal information.
  • Right to delete. Request that we delete personal information we have collected from you, subject to legal and regulatory recordkeeping exceptions.
  • Right to a copy / portability. Request a copy of your personal information in a portable format, where applicable.
  • Right to opt out. Opt out of any sale of personal information, targeted advertising, or profiling — though, as noted above, we do not engage in these activities.
  • Right to non-discrimination. Exercise your rights without receiving discriminatory treatment.

How to exercise your rights. To make a request, contact us using the information in Section 13. We will verify your identity before responding, which may require additional information. You may use an authorized agent to submit a request on your behalf where permitted by law. We will respond within the timeframe required by applicable law (generally 45 days, with the possibility of an extension).

Appeals. If we decline your request and the law in your state provides a right to appeal, you may appeal by contacting us at the address in Section 13. If your appeal is denied, you may have the right to contact your state Attorney General.

9. Data Retention

We retain personal information for as long as necessary to fulfill the purposes described in this Policy, including to maintain investor relationships, comply with our legal, regulatory, tax, and audit obligations, resolve disputes, and enforce our agreements. Retention periods for investor information are generally longer because of recordkeeping requirements that apply to investment firms. When information is no longer needed or desired, we take reasonable steps to delete or de-identify it.

10. Third-Party Websites and Links

The Site may contain links to third-party websites and services, including the investor portal. We are not responsible for the privacy practices or content of those third parties. We encourage you to review the privacy policies of any third-party site you visit.

11. Children’s Privacy

The Site is not directed to children, and we do not knowingly collect personal information from anyone under the age of 18. If you believe a child has provided us with personal information, please contact us and we will take appropriate steps to delete it.

12. Changes to This Policy

We may update this Policy from time to time. When we do, we will revise the “Last Updated” date above and post the updated Policy on the Site. Material changes may be communicated through additional notice where appropriate at our discretion. Your continued use of the Site after an update means you accept the revised Policy.
